These service-specific terms supplement the Veterinary Business Foundation™ Service Agreement and apply only to accounting-system implementation, bookkeeping implementation, payroll setup, reasonable-compensation coordination, and initial tax-planning work actually included in the Client's engagement.
1. Scope and Applicability
MVFG may provide the services below during the implementation period when applicable to the Client's circumstances and expressly included. Not every Client will require or receive every service described in these Terms.
- QuickBooks or another approved accounting-platform setup and initial configuration.
- Chart-of-accounts configuration and an initial business-recordkeeping workflow.
- Business-versus-personal expense workflow and veterinary-related categorization framework.
- Initial bookkeeping structure and implementation support.
- Payroll-platform setup or coordination and owner/employee onboarding.
- Initial payroll structure and reasonable-compensation coordination when applicable.
- Initial tax projection framework and estimated-tax planning.
- Integration and coordination of agreed accounting, payroll, document, and financial workflows.
2. Accounting Platform Implementation
When included, MVFG may assist with setup or configuration of QuickBooks or another approved accounting platform, including chart-of-accounts structure, account connections or workflow guidance, initial categorization framework, and financial-recordkeeping procedures.
Client is responsible for timely providing accurate account information, statements, opening balances, transaction records, business-use information, and access required for implementation. Platform availability, bank-feed connectivity, third-party integrations, and software functionality are controlled by third parties and are not guaranteed by MVFG.
3. Bookkeeping Implementation vs. Ongoing Bookkeeping
Initial bookkeeping implementation may include establishment of the accounting structure, categorization framework, workflows, and other setup activities described in the Service Agreement. Unless expressly included in the selected package, this implementation does not include indefinite or ongoing monthly bookkeeping after the implementation period.
Ongoing transaction coding, reconciliations, monthly financial closes, recurring reporting, historical cleanup beyond the agreed scope, and continuing bookkeeping services require a separate ongoing engagement unless expressly stated otherwise.
4. Business and Personal Expense Workflow
MVFG may provide a framework to help Client separate business and personal financial activity and organize potentially relevant veterinary-business expenses. Final tax deductibility depends on the facts, applicable law, substantiation, business purpose, and Client's complete information. Categorization within accounting software does not itself establish that an expense is deductible.
5. Payroll Implementation
When applicable and included, MVFG may assist with payroll-platform setup or coordination, owner/employee onboarding, initial payroll configuration, and payroll workflow implementation. Payroll software, payment processing, tax debits, direct deposit, state registrations, and other third-party functions may be subject to separate provider terms, charges, verification, approval, and processing requirements.
Unless expressly included in the selected package, initial payroll setup does not include ongoing payroll processing, recurring payroll-tax filing administration, continued payroll compliance monitoring, employee administration, or indefinite payroll support after the implementation period.
6. Reasonable Compensation
When applicable, MVFG may assist with an initial reasonable-compensation framework based on information available at the time of implementation. Reasonable compensation is fact-specific and may change as duties, hours, revenue, market conditions, ownership, compensation, or other circumstances change.
Any initial framework is not a guarantee of IRS acceptance or audit outcome. Client must promptly communicate material changes and remains responsible for ongoing payroll and compensation compliance unless separately engaged for ongoing services.
7. Tax Projection and Estimated-Tax Planning
When included, MVFG may prepare an initial tax projection framework and estimated-tax planning based on information supplied by Client and assumptions considered reasonable at the time. Projections are estimates, not guarantees, and may change due to income, deductions, withholding, payroll, entity activity, investment activity, filing status, state activity, law changes, prior-year items, or other facts.
Client is responsible for promptly providing complete information and notifying MVFG of material changes. Estimated-tax planning does not guarantee that Client will owe no additional tax, penalty, or interest and does not guarantee any specific refund or tax savings.
8. Third-Party Platforms and Providers
MVFG may coordinate with accounting software, payroll providers, banks, secure portals, payment processors, or other third-party systems. Those providers control their own terms, pricing, verification, availability, data connections, processing, security, and service levels. Third-party subscriptions, platform fees, processing charges, or other provider costs are separate unless expressly stated as included.
9. Client Responsibilities
- Provide requested records, statements, access, payroll details, prior filings, and other implementation information accurately and on time.
- Review and approve setup decisions, payroll information, compensation inputs, account mappings, and other information when requested.
- Maintain separation between business and personal activity as instructed and preserve supporting documentation.
- Notify MVFG promptly of material changes in income, ownership, employees, business activity, state activity, compensation, or other relevant circumstances.
- Review communications from payroll providers, tax agencies, accounting platforms, banks, and other third parties and forward relevant notices when assistance is requested.
10. Ongoing Services Are Separate Unless Expressly Included
The 90-Day Veterinary Business Foundation™ is an implementation engagement. Formation of systems and initial workflows does not by itself create an ongoing monthly bookkeeping, payroll, tax-return preparation, quarterly planning, compliance-monitoring, or advisory engagement. Ongoing Foundation Support or another recurring service begins only when separately selected and accepted by Client.
11. No Guaranteed Accounting, Payroll or Tax Outcome
MVFG does not guarantee any particular tax savings, tax liability, refund, payroll result, deduction, agency determination, audit result, software performance, or financial outcome. Services are based on Client information, applicable facts, professional judgment, and systems or third parties that may change.
12. Relationship to Other Agreement Terms
These Accounting, Payroll and Tax Planning Terms supplement, and are incorporated into, the Client's Veterinary Business Foundation™ Service Agreement when the applicable services are included. The Firm's Standard Terms and Conditions also remain applicable. If a conflict exists regarding the Client's selected services, fees, or implementation period, the signed Service Agreement controls.
